AGREEMENTS, TERMS, CONDITIONS

Bendricks International Men's Club® was founded on the belief that men have the right to enjoy the company of a beautiful woman. But that right does not transcend the woman's right to be in control of her own body and spirit in her interactions with men. Women should not expect and should not be subjected to domination or abuse in any form. The Club is designed exclusively for men who embrace and unconditionally accept this premise. Upon receipt of membership and payment for any of the Vacation Club services of Bendricks International Corporation, Bendricks International, Inc. and Bendricks International Men's Club®, each member acknowledges that he understands our standards and quality of male/female interaction and agrees to abide by them. Further, by those same actions of payment for membership and payment for subsequent services, each member makes the following pledge:

* I am 21 years of age or older.

* I am not offended by the undressed or barely dressed female body.

* I understand that Bendricks International Men's Club® performs its vacation club services to accommodate vacationing members of the club who desire to meet adult women who are interested in sharing vacations for the purpose of companionship, dating, long term relationships, and marriage; and to accommodate members of the club who desire a private companion during their vacation.

* I acknowledge that any and all interactions that occur between me and my vacation companion, be it platonic or sexual, is a result of our mutual agreement and understanding; and that neither Bendricks International Men's Club®,nor Bendricks International Corporation, nor Bendricks Properties International, Inc., nor any of it owners, employees, agents, representatives or officers profit from these interactions.

* I understand that all companion are adult women and that Bendricks International Men's Club®, Bendricks International Corporation, Bendricks International, Inc, its owners, employees, representatives, and agents do not and will not provide introductions to minors for any reason or purpose.

* I will abide by and expect to be governed by the laws of the countries in which I vacation. I will not claim membership in Bendricks International Men's Club® as an explanation for any embarrassing, disruptive, law breaking, or otherwise aberrant behavior. I understand that I am responsible for my own behavior and do not hold Bendricks International Men's Club®, Bendricks International Corporation®, or Bendricks Properties International, Inc., nor any of its owners, employees,representatives, agents, or officers responsible for any behavior I choose by my own volition to exhibit.

* I agree to indemnify, defend, and hold harmless, Bendricks International Men's Club® Bendricks International Corporation, and Bendricks Properties International Inc., its owners, employees, representatives, officers, and agents against any and all claims, suits, actions, or other proceedings brought against the "indemnified party" from any and all claims, expenses, causes of actions in violation of this agreement. I will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorney's fees and costs awarded against or otherwise incurred by the Indemnified Party in connection with or arising from any such claims, suit action or proceeding.

* I acknowledge and agree that Bendricks International Men's Club®, Bendricks International Corporation®, or Bendricks Properties International, Inc., will not be liable to me under any circumstances with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including loss of revenue or goodwill or anticipated profits or loss of business) even if we have been advised of the possibility of such damages.

*Further not withstanding anything to the contrary contained in this agreement, in no event will cumulative liability of Bendricks International Men's Club®, Bendricks International Corporation®, or Bendricks Properties International, Inc., its owners, employees, representatives, agents, and officers to me arising out of or related to this agreement, whether based on contract, negligence, strict liability, tort, or other legal or equitable theory exceed an amount equal to the fee paid for Membership by me to Bendricks International Men's Club®, Bendricks International Corporation, and Bendricks Properties International Inc. for membership in Bendricks International Men's Club®.
